Terms of Service

These Terms and Conditions (“Terms”) govern your access to and use of the Sovereign Meridian website and services (the “Services”), operated by AI Growth Systems LLC (“Company,” “we,” “us,” or “our”).  Sovereign Meridian is a brand and service offering of AI Growth Systems LLC.

By accessing or using the Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Nature of Services

Sovereign Meridian provides AI-powered buyer intelligence and AI-assisted engagement services designed to connect M&A Advisors and sell-side principals with strategic decision-makers.

The Services may include, but are not limited to:

AI-assisted buyer targeting, signal monitoring, and strategic match identification

Mapping and prioritization of high-conviction acquirers within client-relevant sub-verticals

Facilitation of discreet, peer-level introductions to authorized decision-makers

Human-in-the-loop review and approval workflows to ensure accuracy, compliance, and discretion

Real-time insight reporting and actionable intelligence for ongoing engagement strategy

Sovereign Meridian is an intelligence and engagement platform, not a lead marketplace or transaction broker. All introductions are carefully curated, outcome-focused, and executed with full professional discretion.

2. Client Responsibilities

Client agrees to:

Provide accurate information about its business, target profiles, and positioning

Respond in a timely manner to approvals, feedback, and communications

Comply with all applicable laws, including B2B marketing and data regulations

Use all introductions and information for lawful business purposes only

Sovereign Meridian reserves the right to pause or terminate Services if Client materials, offers, or conduct create legal, ethical, or reputational risk.

3. Pricing, Billing

Sovereign Meridian provides exclusive, concierge-level buyer intelligence and engagement services on an engagement basis. Fees are structured according to service tier, mandate complexity, and required level of execution capacity, reflecting the depth of intelligence, pre-market insight, and direct buyer engagement delivered.

Initial Mandate Calibration

Activates the client’s mandate within the Sovereign Meridian Agentic Intelligence Engine. Includes Buyer Map configuration, live signal monitoring, portfolio-fit analysis, and infrastructure calibration to enable precise, pre-market engagement with high-conviction strategic buyers.

Monthly Engagement Retainer

Provides continuous buyer surveillance, capital deployment tracking, agentic workflow management, and managed outreach execution. Retainers reflect reserved execution capacity and ongoing intelligence operations throughout the engagement period.

Strategic Completion Milestone

Payable upon completion of the mandate’s defined strategic execution phase, as set forth in the engagement agreement. Includes:

Validation and prioritization of high-propensity buyers

Direct, peer-level introductions to qualified decision-makers

Delivery of consolidated intelligence findings and engagement insights.

All fees are fixed and independent of transaction value. Compensation reflects delivery of intelligence and engagement services and is structured to comply with professional service standards.

Important: Sovereign Meridian operates strictly as an intelligence and engagement platform. We are not a broker, placement agent, investment banker, or transaction intermediary. We do not negotiate, structure, or participate in transactions, and compensation is not contingent upon transaction size or proceeds.

4. Refunds Policy

Because Sovereign Meridian provides customized, data-driven B2B intelligence and outreach services, the following refund terms apply:

4.1 Initial Mandate Calibration (Priority Access)

The Initial Mandate Calibration fee is non-refundable once work has commenced. Activation of the mandate reserves dedicated execution capacity and initiates proprietary infrastructure configuration specific to the client’s engagement.

4.2 Monthly Engagement Fees

Monthly retainers are billed in advance and are non-refundable for services rendered within the applicable billing period. Fees reflect allocated execution capacity, live market surveillance, and ongoing outreach services during that period.

4.3 Strategic Completion Milestone

The Strategic Completion Milestone is a fixed advisory fee payable upon achievement of the defined completion trigger under the engagement agreement. Once triggered and invoiced, the milestone fee is non-refundable, as it reflects delivery of the full strategic execution cycle and associated services.

4.4 Early Termination

Clients may terminate future services with thirty (30) days’ written notice in accordance with the agreed notice period. No refunds will be issued for prior billing periods, services already rendered, or partial months.

4.5 Exceptions

Any exceptions to this Refunds Policy must be agreed to in writing by Sovereign Meridian. No oral modifications or informal communications shall alter these terms.

5. Intellectual Property

All methodologies, systems, workflows, AI configurations, and processes used by Sovereign Meridian remain the exclusive intellectual property of AI Growth Systems LLC.

Client receives no ownership rights, licenses, or claims beyond the limited use of Services during the engagement term.

6. Confidentiality

Each party agrees to maintain the confidentiality of non-public business information shared during the engagement.

7. Indemnification

Client agrees to indemnify, defend, and hold harmless AI Growth Systems LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Client’s use of the Services

Violation of these Terms

Misrepresentation or misuse of data

Breach of applicable laws

8. Limitation of Liability

To the maximum extent permitted by law:

AI Growth Systems LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits

Total liability shall not exceed the fees paid by Client to VIP Intros in the preceding 30 days

9. Termination

Either party may terminate the Services in accordance with the agreed engagement terms or with written notice if no specific term is defined.

All outstanding fees, including revenue share obligations for introductions already delivered, remain payable upon termination.

10. Force Majeure

AI Growth Systems LLC shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, internet or power outages, or legal/regulatory changes.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes arising from these Terms shall first be attempted to resolve through good-faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall take place in Jacksonville, Florida, and the arbitrator’s decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

12. No Guarantees

Client expressly acknowledges and agrees that:

Sovereign Meridian does not guarantee:

Any specific number of introductions, connections, or buyer engagements

Meetings, calls, or responses from prospective counterparties

Execution of a letter of intent (LOI), transaction closing, or any transaction-related outcome

Sales results, revenue generation, valuation levels, or economic performance

All outcomes are dependent upon factors beyond Sovereign Meridian’s control, including but not limited to the Client’s offering, positioning, responsiveness, transaction readiness, counterparty discretion, and prevailing market conditions.

All services are provided on a commercially reasonable efforts basis only. Sovereign Meridian makes no representations or warranties, express or implied, regarding transaction results or business outcomes.

13. Regulatory & Role Clarification

Sovereign Meridian acts as a strategic conduit for mandate synchronization, providing intelligence-led connectivity between sell-side advisors and institutional capital sources. Our services are limited to market intelligence, buyer identification, and direct outreach facilitation.

Sovereign Meridian (VIP Intros) is not a registered broker-dealer, investment adviser, or placement agent. We do not provide financial, investment, legal, or tax advice, and we do not negotiate, structure, or execute transactions or receive transaction-based compensation.
